Handled Lifestyle Website Terms

WEBSITE TERMS OF USE

Effective Date: October 23, 2026

These Website Terms of Use (these “Terms”) govern access to and use of www.handledlifestyle.com and any other website, webpage, online form, or online feature operated by Handled Lifestyle LLC, an Oregon limited liability company (collectively, the “Site”). In these Terms, “Handled,” “Company,” “we,” “us,” and “our” refer to Handled Lifestyle LLC, and “you” and “your” refer to each visitor to or user of the Site.

BY ACCESSING OR USING THE SITE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO THESE TERMS. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE SITE.

These Terms govern use of the Site only. Consulting, membership, project, and other client services are governed exclusively by the applicable Master Services Agreement, Statement of Work, Membership Schedule, or other written agreement entered into with the Company (each, a “Service Agreement”). If these Terms conflict with a Service Agreement, the Service Agreement controls with respect to the applicable services and client relationship.

  1. Eligibility.  The Site is intended only for individuals who are at least eighteen years old. By accessing or using the Site, you represent that you are at least eighteen years old and have legal capacity to agree to these Terms. If you are under eighteen, you may not use the Site, submit an inquiry, schedule a consultation, or submit personal information through the Site. If you use the Site on behalf of an entity or another person, you represent that you have authority to bind that entity or person to the extent applicable.

  2. Geographic Scope. The Site is operated from the United States and is intended primarily for users located in the United States. The Company makes no representation that the Site or its content is appropriate or available in other locations. Anyone accessing the Site from outside the United States does so on their own initiative and is responsible for compliance with applicable local law.

  3. Purpose of the Site.  The Site provides general information about the Company, its lifestyle consulting and coordination services, membership and project options, and related content. The Site may also permit visitors to submit inquiries, request or schedule consultations, complete intake forms, and subscribe to communications. The availability of any feature may change at any time.

  4. No Client Relationship or Guarantee of Services.  Accessing the Site, submitting information, scheduling a call, making an inquiry, joining a waitlist, or communicating through the Site does not create a client, advisory, fiduciary, or other professional relationship and does not obligate the Company to accept an engagement. A client relationship is formed only when the Company and the applicable client enter into a Service Agreement. The Company may accept or decline a prospective engagement in its discretion, subject to applicable law.

  5. Site Information; No Professional Advice.  Site content is provided for general informational and promotional purposes. It is not legal, tax, accounting, investment, financial-planning, medical, mental-health, nutrition, architectural, engineering, construction, security, insurance, or other licensed professional advice. Lifestyle, design, travel, product, vendor, and similar information is inherently subjective and may not be suitable for every person, property, budget, or circumstance. You are responsible for evaluating information and obtaining appropriate professional advice before acting on it.

  6. Service Descriptions, Pricing, and Availability.  Descriptions of services, membership options, pricing, timing, examples, and availability appearing on the Site are general, may be incomplete, and may change without notice. They do not constitute an offer or guarantee. The scope, fees, payment terms, schedule, cancellation rights, and other terms of an engagement are established only in the applicable Service Agreement.

7.     Online Requests and Scheduling.  The Site may allow you to submit an inquiry, request or schedule a discovery call, and provide intake information through a third-party form or scheduling provider. A submission or scheduled call does not guarantee a particular service, engagement, or acceptance as a client. You agree to provide current, complete, and accurate information and to promptly correct any material error. The Company does not authorize you to send payment-card information, account passwords, alarm codes, entry instructions, or other access credentials through an outreach form, scheduling form, email, or text message. You consent to receive transaction-related or service-related electronic communications concerning inquiries, discovery calls, appointments, documents, or prospective or existing services at the contact information you provide. Electronic communications and records may satisfy legal writing and notice requirements to the extent permitted by law. Promotional email or text communications will be governed by the specific consent presented when you subscribe, and you may use the unsubscribe or opt-out method included in those communications.

  1. Privacy.  The Company’s Privacy Policy describes how the Company collects, uses, discloses, and protects personal information in connection with the Site and related inquiries, consultations, memberships, projects, and communications. The Privacy Policy is incorporated into these Terms by reference and should be reviewed before submitting personal information. If a third-party platform processes scheduling, analytics, email, forms, or other information, that provider’s own terms and privacy practices may also apply.

  2. User Submissions.  You may provide information, messages, documents, images, reviews, testimonials, preferences, requests, or other materials through the Site (“Submissions”). You retain ownership of your Submissions. You grant the Company a nonexclusive, worldwide, royalty-free license to host, store, reproduce, transmit, and use a Submission only as reasonably necessary to operate the Site, respond to you, consider or provide requested services, administer the relationship, comply with law, or protect rights and safety. Public or marketing use of client names, likenesses, testimonials, project materials, or other identifying information remains subject to the applicable Service Agreement or other written authorization.

9.1  Your Representations.  You represent that your Submissions are accurate to the best of your knowledge, that you have the right to provide them and grant the foregoing license, and that they do not violate law or another person’s privacy, publicity, intellectual-property, contractual, or other rights. Do not submit unlawful, threatening, defamatory, infringing, malicious, or deceptive material.

9.2  No Confidential Engagement Information Through General Forms.  Unless the Site expressly designates a feature for secure client communications, general inquiry and contact forms are not intended for highly confidential or sensitive engagement information. Submission of information through a general form does not, by itself, create a duty beyond those imposed by the Privacy Policy, applicable law, or an existing Service Agreement.

  1. Acceptable Use.  You may use the Site only for lawful, personal, and legitimate business-inquiry purposes. You may not: (a) interfere with or disrupt the Site or connected systems; (b) attempt unauthorized access to any account, system, data, or restricted area; (c) introduce malware, harmful code, or excessive requests; (d) scrape, crawl, harvest, index, copy, or extract Site content or personal information through automated means without written consent; (e) impersonate another person or misrepresent your identity or authority; (f) use the Site to transmit spam, unlawful solicitations, or deceptive content; (g) bypass security or access controls; (h) reverse engineer or attempt to derive source code except to the extent such restriction is prohibited by law; or (i) use the Site or its content in a manner that infringes rights or violates applicable law.

  2. Intellectual Property.  The Site and its content, including text, photographs, graphics, logos, branding, page design, selection and arrangement, downloads, and software, are owned by or licensed to the Company and are protected by copyright, trademark, and other laws. Subject to these Terms, the Company grants you a limited, revocable, nonexclusive, nontransferable license to access and use the Site for your own lawful, noncommercial use. No other right or license is granted.

11.1   Prohibited Content Uses.  Without prior written consent, you may not reproduce, republish, distribute, sell, sublicense, publicly display, create derivative works from, remove proprietary notices from, or commercially exploit Site content. You may print or save a reasonable number of pages solely for personal evaluation of the Company’s services, provided all notices remain intact.

11.2   Trademarks.  The Company’s names, logos, service names, slogans, and trade dress are trademarks or other proprietary identifiers of the Company or its licensors. No right to use them is granted by access to the Site.

11.3   Links to the Site; No Framing. You may link to the Site in a lawful and non-misleading manner, provided the link does not state or imply that the Company sponsors, endorses, or is affiliated with you or your website without the Company’s written consent. You may not frame, embed, mirror, or display the Site or its content within another website or service without the Company’s prior written consent. The Company may revoke permission to link to the Site at any time.

  1. Third-Party Services and Links.  The Site may link to, embed, or depend on third-party websites, scheduling tools, maps, social media, analytics tools, or other services. The Company does not control and is not responsible for third-party content, availability, security, accessibility, acts, omissions, or privacy practices. A link or integration does not constitute endorsement. Your use of a third-party service is governed by that provider’s terms and policies.

  2. Testimonials, Examples, and Results.  Testimonials, photographs, case examples, before-and-after materials, and descriptions of prior projects reflect individual experiences and are not promises or guarantees of results. Results vary based on personal preferences, scope, budget, timing, participation, third parties, product availability, and other circumstances. Testimonials are used only with the permission required by the applicable agreement or authorization.

  3. Site Availability and Changes.  The Company may modify, suspend, restrict, or discontinue the Site or any feature at any time. The Company does not warrant that the Site will be uninterrupted, secure, current, complete, compatible with every device, or free of errors, viruses, or harmful components. You are responsible for maintaining appropriate devices, connectivity, software, and security measures.

  4. Disclaimer of Warranties.  TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ALL SITE CONTENT AND FEATURES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, OR SECURITY. THE COMPANY DOES NOT WARRANT THAT THE SITE WILL MEET YOUR REQUIREMENTS OR THAT DEFECTS WILL BE CORRECTED.

  5. Limitation of Liability.  TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST OPPORTUNITY, LOSS OF DATA, LOSS OF USE, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SITE, SITE CONTENT, THIRD-PARTY SERVICES, OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY.

16.1    Liability Cap.  TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF THE COMPANY AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AND AGENTS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED DOLLARS. THIS LIMIT DOES NOT ALTER ANY LIABILITY PROVISION IN AN APPLICABLE SERVICE AGREEMENT.

16.2  Nonwaivable Rights.  Nothing in these Terms excludes or limits liability, remedies, or consumer rights that cannot lawfully be excluded or limited.

  1. Indemnification.  To the maximum extent permitted by law, you will indemnify, defend, and hold harmless the Company and its members, managers, employees, contractors, and agents from third-party claims, liabilities, damages, judgments, penalties, costs, and reasonable attorneys’ fees arising out of or relating to: (a) your unlawful or unauthorized use of the Site; (b) your Submissions; (c) your violation of these Terms; or (d) your infringement or violation of another person’s rights. The Company may control the defense of a claim subject to indemnification, and you will reasonably cooperate. This Section does not require a consumer to indemnify the Company for the Company’s own wrongful conduct.

  2. Suspension and Termination.  The Company may restrict, suspend, or terminate your access to the Site if you violate these Terms, misuse the Site, create security or legal risk, or interfere with Site operation. Provisions that by their nature should survive will survive, including provisions concerning intellectual property, Submissions, disclaimers, liability, indemnification, disputes, and general terms.

  3. Changes to These Terms.  The Company may update these Terms by posting a revised version and changing the Effective Date. Changes apply prospectively when posted unless a later date is stated. If a change materially affects information previously submitted through the Site or another matter for which additional notice or consent is required, the Company will provide the notice or obtain the consent required by applicable law. Continued use of the Site after the effective date of revised Terms constitutes acceptance of the revised Terms.

  4. Dispute Resolution; Oregon Law.

[Note to Pam: Because the Site will not offer accounts, payments, or online purchases, the Terms should be linked prominently in the website footer. To improve enforceability of the Terms, particularly the arbitration and class-waiver provisions, consider including an unchecked acceptance box with a conspicuous hyperlink to the Terms before a visitor submits the Outreach Form or schedules a Discovery Call.

☐ I have read and agree to the Website Terms of Use, including the agreement to binding arbitration and waiver of jury and class proceedings.]

20.1   Governing Law. These Terms and any dispute arising out of or relating to the Site or these Terms are governed by the laws of the State of Oregon, without regard to conflict-of-laws principles.

20.2  Informal Resolution and Mediation.  Before commencing arbitration, the parties will first attempt in good faith to resolve the dispute through written communications. If the dispute is not resolved, the parties will attempt to resolve it through non-binding mediation administered by Arbitration Service of Portland, Inc. in Portland, Oregon. The parties will share the mediator’s fees and costs equally unless they agree otherwise.

20.3  Binding Arbitration.  If the dispute is not resolved within sixty days after either party delivers a written request for mediation, the dispute will be resolved exclusively through binding arbitration administered by Arbitration Service of Portland, Inc. in Portland, Oregon before one arbitrator under its then-current rules. Judgment on the arbitration award may be entered in any court having jurisdiction.

20.4  Court Relief and Small Claims.  Either party may seek temporary or preliminary equitable relief from a court of competent jurisdiction to protect confidential information, intellectual property, security, or other rights pending completion of mediation or arbitration. Either party may bring an individual claim within the jurisdiction of a small-claims court instead of arbitration. Nothing in this Section prevents a governmental agency from exercising authority provided by law.

20.5  Individual Proceedings; Waiver of Jury Trial. ARBITRATION IS CONDUCTED BEFORE AN ARBITRATOR AND NOT A JUDGE OR JURY. BY AGREEING TO THESE TERMS, EACH PARTY WAIVES THE RIGHT TO HAVE AN ARBITRABLE DISPUTE DECIDED IN COURT BY A JUDGE OR JURY. TO THE EXTENT PERMITTED BY LAW, DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. If this waiver is found unenforceable as to a particular form of relief, that request for relief will be severed and determined by a court after completion of all arbitrable claims.

20.6  Attorneys’ Fees. The prevailing party in an arbitration or court proceeding arising out of these Terms is entitled to recover reasonable attorneys’ fees and costs to the extent permitted by applicable law. This Section does not limit a nonwaivable consumer right or impose fees contrary to the applicable arbitration rules.

  1. Notices.  The Company may provide notices relating to the Site or these Terms by posting on the Site, by email to an address you provide, or by another reasonable electronic method. Legal notices to the Company must be sent to pam@handledlifestyle.com and to any mailing address designated in the Contact Information below. Notices relating to client services remain governed by the applicable Service Agreement.

  2. General Terms.  These Terms and the incorporated Privacy Policy are the entire agreement concerning use of the Site, but do not replace or modify a Service Agreement. If a provision is invalid or unenforceable, it will be modified to the minimum extent necessary and the remainder will continue in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without the Company’s written consent; the Company may assign them in connection with a merger, reorganization, sale of assets, or transfer of the Site or business. These Terms do not create a partnership, joint venture, employment, fiduciary, franchise, or agency relationship. There are no third-party beneficiaries. Headings are for convenience only. Electronic acceptance and records have the same effect as written acceptance and records to the extent permitted by law.
